There may be various reasons why a 32-bit executable does not run on a 64-bit system. For instance it's dynamically linked and the 32-bit libraries are not present, or the executable detects the 64-bit environment and stops because the programmer coded it to stop, ... The behavior is application-specific so I suggest that you look at the Matlab documentation.
