To the best of my knowledge OpenSSL is just the successor of SSLeay, while SSLeay is not actively maintained any more. In terms of the protocol they are identical, but the user interface for the tools has moved forward.
No, OpenSSL has many advantages, i.e. support for X509v3 Extensions. OpenSSL handles more formats. BTW: The first Version of OpenSSL (I believe 0.9.1 or something like this) was SSLeay plus some selected patches.
