This proposal from 2019 [1] is probably the best reading for getting started, at the time we as the openSUSE board discussed this with the management at SUSE and had a positive response, unfortunately soon after that there were a significant number of changes in SUSE's management and we decided it would be best for that to settle before moving any further forward with it. Now its once again waiting for people to have time to start driving the discussion again.
In terms of changes one thing we could consider is there is a similar not for profit structure in the US that maybe better or worse so could be worth looking at especially if anyone has had some involvement with them.
We also need to spend some time developing a better business case, with the previous management this was less of an issue. But there are a number of ways that openSUSE having a foundation could save SUSE money such as being able to get more and better conference sponsorship and so putting together a business case would be useful.
Anyway if your interested it might be worth starting another discussion on the project list to see if we can find some more people.
