What is the file which conflicts?
I even tried the --upgrade option for rpm but that didn't

You could try the following:
rpm -i --nodeps --force ./name/of/rpm
Not a good advice. It can easily break the working system. It's better to look what files conflict with php 4.0.6-53 packages. I think some other packages need to be upgraded too. -Kastus
