I just dup'd two of my 12.1 vmware systems to 12.3 and the upgrade appeared to complete successfully. However after rebooting the systems I can no longer access the system console, the only thing on the console is the message "piix4_smbus 0000:00:07.3 host smbus controller not enabled" which is an informational message. If I boot the system and remove vga=0x314 from the command line I see the starting status of the services until it reaches "Reached target Multi-User." at which point to all I can to is shift+pgUp or pgDown.
Did you try Alt-F1 or Ctrl-Alt-F1?
I can't believe it was actually on a different virtual terminal. I've never had to use them when connecting to vmware consoles before, and didn't realize they were accessible.
