Thanks I have edited the /etc/init.d/alsasound and its shutting down okay now.

Mmmm. Perhaps there is a bug on the sound driver. While the machine is powering off, swith to console 10 (ctrl-alt-f10), where kernel warning mesages are sent: you might see something there.
If it is indeed the sound driver, you might dissable alsa (I'm guessing it is alsa) from stopping. It involves editing '/etc/init.d/alsasound', the stop section: but notice that this may have undesireable consequiences, like not saving the mixer status.
I guess the problem could be in the 'function stop()', where it unloads modules: the kernel log might yield more info.
