Those are valid reasons indeed. Perhaps you should remove VESAFB (keeping the FBDev option, removing VESA) and replace it with MatroxFB support. Can anyone comment on this?
I'm with Jon on this, I'd definitely only use one frame buffer (unless you've got multiple different video cards). You will need to select VGA text console (this is the vgacon mentioned in /usr/src/linux/Documentation/fb/matroxfb.txt) in menuconfig (not VESA VGA nor VGA 16) in addition to what Jon has already recommended. I remember Philipp (who is running the matroxfb) posting some modifications he made to his lilo.conf to get it set up properly. I don't have Philipp's mods on hand but it was fairly recently and should be in the archives. I ran vesafb with vga=790 on my laptop prior to XFree support for my chipset. It seemed to work quite well at the time.
