This happens mostly when the system is under high load; for example at boot time. The problem with that is that udev cannot process its rules properly if some attributes from sysfs are not available. When i investigated this problem the sysfs files were already there but reading them did not work (e.g. /sys/clas/net/eth*/address seemed to be empty) Sometimes when ..../address could be read properly (and udev did the right things), then rename_netiface could not rename the interface. Repeatedly trying to rename it in a loop was succesfully after some time (far below 1 second). See bug 230213 for the problems arising from this. This is a regression since it did not happen on 10.1 or older. Maybe the scripts in the udev tree, which all other are using, just do something that hides a bug from showing up.
