if I do: telnet 1.2.3.4 69 I get "connection refused" yet I can't find anything in the /var/log/messages or /var/log/xinetd.log to indicate a problem.

Check your hosts.allow and hosts.deny files. I ran into a problem where these were blocking the tftp traffic.
