Yeah, I deleted the /etc/adjtime file, played with hwclock, played with ntp, etc. Its just no workie. <sigh>.

That's a head scratcher, then. Hope I won't see that when my 10.2 box arrives next week. The last "Time" problem I had was back in 8.2 with dual-boot win98. I'd use win maybe once a month, and then have to chase the adjtime correction for the next 4 days to get it settled down. That's about the time I wiped windows completely, and has been fine since.
