I appreciate that they (Novell) want to retain control of a project that they largely fund - this is not unreasonable - but if it turns out that the board voting is consistently split along Novell / Community lines I fear the Community members are unlikely to remain there very long. I would not expect Novell employees to stand unless selected by their employer, so I don't think this is likely to be very relevant.
