Just make sure you use FAT-32. mkfs-vfat does NOT default to 32-bits. I've had to use FAT-32 on large disks because of a customer requirement. The really big disadvantage in my experience is that you can't use symbolic links on a FAT partition. The fsck check times on reboot can also add up. I've got one box that takes two hours to boot up because of all the FAT partitions (customer requirements again).
