yes, /boot/grub/menu.lst.old is bootloader. It is because before every kernel
update perl-Bootloader backup current settings if something goes bad. I think
that this is expected even if menu is not changed, you want save your current
settings. Are you sure that menu.lst.old is exactly same? I think at least
kernel version should change, not?
