Are you using your old modem's init string with your new modem?
I would guess that they wouldn't be compatible since your new
modem is has a Rockwell chipset and your old one had a USR.

I'd try your initialization string. Call up minicom... type in this exact
sequence and see if it gives you OK or ERROR

AT&F&C1H1L2S9=3D15

It seems your modem is responding ERROR to it and if it's Hayes Compatible, t=
he
extra newline shouldn't make a difference at all.

I think what happens is that the "^M" (which means "LF/CR") is sent
after each "AT" command, and that the new modem reacts differently on
these than the old one did.

So, you can try inserting a ";" at the end of the command, which should
prevent the "^M" from being sent. Maybe this helps (and if not, don't
flame me, i'm a "synner", too, 'cause of... "WinModem", you know what I
mean...)

Another "guess" : Do you get the "OK" expected, or is the answer "Chat
now working" instead ???

CU !
Norbert
