You have the choice (just as much as you would have if you didn't buy the update package but the "normal" Professional box): you can either update and existing SUSE LINUX installation or you can do a fresh install. The only differences between Update and Professional are: ° 60 instead of 90 days free installation support ° not a complete set of manuals (on the assumption that the person buying the Update already is familiar with SUSE LINUX in a recent version) ° the price The one point that should seriously be considered is the documentation (printed manuals).
