But I'm not on the board and for some reason, I always miss the IRC meetings where this is discussed, and I see no mail about this.

So I'm not sure how I can help since I don't know what is the current status, and where help is needed.
We need to work out bylaws that regulate things like the purpose, the membership handling and the governance of the foundation. We then need to organize an inauguration meeting and afterward we need to fill the positions that we create with life which is most important. So you can participate in the planing, implementing and running of the Foundation. And I think that everyone that is serious about this needs to do all 3 things o make this a success. So as a first step I would encourage you to participate in our board meetings where we currently discuss the bylaws of the Foundation. They are public on IRC. The next one is at January the 12th, 19:00 UTC in #opensuse-project.

Me too. Thats why we decided in the last board meeting that we want to open up this process of creating the foundation to everybody interested. We will mingle on a separate public mailinglist (opensuse-foundation) and document results of our discussions on a wiki page.
(FWIW, I very strongly believe that the board doesn't have to do everything itself, but I know it's not as easy as it sounds.)
I think we have learned that since the governance discussion at the conference before last (where you also violently advocated for outsourcing tasks ;) and you can see that already in two of the 3 initiatives I mentioned where we appointed a strategy team and the membership officials.
