From a purely practical point of view, forming a legal entity is no bigdeal, it really is just a bit of paperwork.
That it hasn't happened so far is only due to what Martin mentioned -
direction and leadership. Please note - leadership != management.
Err, the board has been investigating the creation of a legal entity for
