What about a simpler solution for this (hopefully rare) case thatAgreed.

I'd simply check the last election results for the person with the
third-most votes [1]. (S)he would then automatically be in the board.
Every year sounds good, possibly combined with what others said: elect

elections? Every year? Every two years? ...?
